These terms govern your use of digiMall's platform and services. Please read them carefully before using our platform.

1. Acceptance of Terms

By accessing or using digiMall's platform, creating an account, or using any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our platform.

These Terms constitute a legally binding agreement between you and digiMall Limited ("digiMall," "we," "us," or "our"). We may update these Terms from time to time, and your continued use of the platform constitutes acceptance of any updates.

2. Eligibility and Account Registration

Eligibility Requirements

To use digiMall, you must be at least 18 years old and legally capable of entering into contracts. You must have a valid Nigerian business registration or be an individual trader with proper documentation.

Account Registration

  • Provide accurate and complete information during registration
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Keep your account information current and accurate

3. Platform Usage and Conduct

Permitted Use

You may use digiMall solely for legitimate business purposes to sell products and services to customers in accordance with these Terms and applicable laws.

Prohibited Activities

You agree not to:

  • Sell counterfeit, stolen, or illegal products
  • Engage in fraudulent or deceptive practices
  • Manipulate prices or engage in anti-competitive practices
  • Violate intellectual property rights
  • Attempt to circumvent platform security measures

4. Vendor Obligations

Product Listings

  • Provide accurate product descriptions, images, and pricing
  • Maintain adequate inventory levels
  • Honor all confirmed orders and transactions

Customer Service

  • Respond to customer inquiries within 24 hours
  • Provide professional and respectful customer service
  • Handle returns and refunds according to your stated policies

Compliance

You must comply with all applicable laws, regulations, and tax obligations related to your business activities on the platform, including but not limited to consumer protection laws and tax requirements.

5. Fees and Payments

Transaction Fees

digiMall charges transaction fees as outlined in our current pricing structure. Fees are automatically deducted from your transaction proceeds before settlement to your wallet.

Fee Changes

We may modify our fees from time to time with 30 days' notice. Continued use of the platform after fee changes constitutes acceptance of the new fee structure.

Payment Terms

Funds are settled to your digiMall wallet instantly upon successful transaction completion. You may withdraw funds to your linked bank account subject to our standard processing times and any applicable fees.

6. Termination and Suspension

Termination by You

You may terminate your account at any time by contacting our support team. You remain liable for all transactions and obligations incurred prior to termination.

Termination by digiMall

We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, or for any other reason at our sole discretion. We will provide notice where reasonably possible.

Effect of Termination

Upon termination, your access to the platform will be discontinued. Outstanding funds in your wallet will be disbursed according to our standard procedures, subject to any pending disputes or obligations.

7. Dispute Resolution

Customer Disputes

You are responsible for resolving disputes with your customers. digiMall may provide mediation services through our dispute resolution process, but final decisions rest with the parties involved.

Platform Disputes

Any disputes between you and digiMall shall be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act. You waive any right to participate in class action lawsuits.

Limitation of Liability

digiMall's liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any legal proceedings shall be conducted in the courts of Lagos State, Nigeria.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Warning

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by email or through the platform. Your continued use of digiMall after any changes indicates your acceptance of the updated Terms.
